End-User License Agreement (EULA) for Markup Gadget for Jira on Jira Cloud

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE INSTALLING OR USING THE Markup Gadget for Jira ("App"). BY INSTALLING OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE APP.

Definitions
1.1. "App" refers to the Markup Gadget for Jira, developed using the Forge platform and made available through the Atlassian Marketplace for use with Jira Cloud;
1.2. "Easysecrets" means limited liability company “Easysecrets Servicos de Informatica LTD”, having principal place of business at Vital Brasil Av. 305, Suite 208, Sao Paulo-SP - 05503-001, Brazil;
1.3. "Developer" refers to the Easysecrets' Development Team, responsible for developing and distributing the App;
1.4. "User" refers to any individual or entity that installs, accesses, or uses the App;
1.5. "Jira Cloud" refers to the cloud-based project management and issue tracking platform provided by Atlassian.
License Grant
Subject to the terms and conditions of this EULA, the Developer grants the User a personal, non-exclusive, non-transferable, and limited license to install and use the App within Jira Cloud.
Restrictions
3.1. The User shall not modify, adapt, translate, reverse engineer, decompile, disassemble nor attempt to derive the source code of the App, except as expressly permitted by applicable law;
3.2. The User shall not distribute, sublicense, rent, lease, loan or otherwise make the App available to any third party;
3.3. The User shall not remove, alter or obscure any copyright, trademark, or other proprietary notices on or within the App.
Support and Maintenance
4.1. The Developer should provide technical support, maintenance and fixes for major degradation and downtimes.
4.2. The Developer is not obligated to provide updates under demand. Any enhancements and updates may be provided at the Developer’s discretion.
Disclaimer of Warranty
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE APP, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Termination
The license granted under this EULA shall automatically terminate if the User violates any of its terms and conditions. Upon termination, the User must immediately cease all use of the App and destroy all copies of the App in their possession.
Governing Law
This EULA shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law principles.
Entire Agreement
This EULA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
